Terms of Service - Shelter Sense

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Wilkins Software ("we," "us," or "our"), concerning your access to and use of the Shelter Sense platform and associated services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service.

Description of Service

Shelter Sense is a comprehensive animal shelter management platform that enables shelters and animal welfare organizations to:

Track and manage animal records, including medical history and behavioral notes
Monitor enrichment activities such as walks, playtime, and clinic visits
Set and track care goals for animals
Manage staff and volunteer information, permissions, and activities
Organize shelter locations and facilities
Generate reports and analytics on shelter operations

Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and account
Accept all responsibility for activities that occur under your account
Immediately notify us of any unauthorized use of your account

We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.

Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable local, state, national, or international law
Transmit any harmful, threatening, abusive, or offensive content
Impersonate any person or entity or misrepresent your affiliation
Engage in unauthorized access, interference, or disruption of the Service
Upload viruses, malware, or any other malicious code
Collect or harvest personal information of other users
Use the Service for any commercial purpose outside of its intended use
Reverse engineer, decompile, or disassemble any part of the Service
Remove or modify any copyright, trademark, or proprietary rights notices

Subscription and Payments

Subscription Plans

Shelter Sense offers various subscription plans with different features and pricing tiers. You may select a plan that best suits your organization's needs.

Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. You authorize us to charge your payment method on file for all applicable fees. If automatic billing fails, we will provide notice and may suspend or terminate your access to the Service.

Refunds

Subscription fees are generally non-refundable. However, we may consider refund requests on a case-by-case basis at our sole discretion.

Plan Changes

You may upgrade or downgrade your subscription plan at any time. Changes take effect immediately, and we will prorate any billing differences. Downgrading may result in loss of access to certain features or data limits.

Price Changes

We reserve the right to modify our pricing. We will provide reasonable notice of any price changes and allow you the opportunity to cancel your subscription before the new pricing takes effect.

Data Ownership and License

Your Data

You retain all ownership rights to the data you input into the Service, including animal records, shelter information, and other content you create ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to use, store, and process Your Data solely to provide and improve the Service.

Our Intellectual Property

The Service, including all software, designs, text, graphics, and other content (excluding Your Data), is owned by Wilkins Software and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

Service Availability and Modifications

We strive to provide reliable and continuous access to the Service. However, we do not guarantee that the Service will be available at all times or that it will be error-free. We may:

Perform scheduled maintenance with advance notice when possible
Make emergency repairs or updates without notice
Modify, suspend, or discontinue any part of the Service at any time
Change features, functionality, or capacity limits

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILKINS SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your use or inability to use the Service
Any unauthorized access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from the Service
Any bugs, viruses, or other harmful code transmitted through the Service
Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

Our total liability to you for any claims arising from or relating to these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Wilkins Software, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (1) your use of the Service; (2) your violation of these Terms; (3) your violation of any third-party rights; or (4) Your Data.

Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Termination

Termination by You

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include violation of these Terms, non-payment, fraudulent activity, or any conduct that we determine to be harmful to the Service or other users.

Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will make Your Data available for export for a reasonable period following termination, after which we may delete Your Data from our systems. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be resolved through good faith negotiations. If the dispute cannot be resolved through negotiations, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the jurisdiction where Wilkins Software is headquartered. You agree to waive any right to a jury trial or to participate in a class action.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Wilkins Software is headquartered, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Wilkins Software concerning the Service.
